Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mesodian website, application, software, portfolios, strategies, information and related services ("Service").

By creating an account, accessing or using Mesodian, purchasing a subscription, connecting a brokerage account, selecting a Portfolio or Strategy, or otherwise using any part of the Service, you agree to these Terms.

If you do not agree to these Terms, you must not use the Service.

1. About Mesodian

Mesodian provides software, information and analytical tools designed to help users understand financial markets, investments and portfolios.

Depending on the features available to you, Mesodian may provide:

  • investment and market information
  • financial and economic data
  • company information
  • investment research
  • financial news and analysis
  • investment education
  • investment scores and analytical metrics
  • portfolio analysis
  • portfolio construction tools
  • model portfolios
  • investment strategies
  • automated portfolio functionality
  • portfolio monitoring
  • portfolio reporting
  • market and macroeconomic analysis
  • risk analysis
  • scenario analysis
  • watchlists
  • brokerage account connectivity
  • tools for implementing selected portfolios through supported third-party brokerage providers

The Service may change over time and particular features may not be available in all jurisdictions or to all users.

2. Definitions

For these Terms: "Account" means your registered Mesodian account. "Content" means information, data, text, graphics, software, analysis, research, scores, reports, news, portfolio information, strategies and other material made available through Mesodian. "Portfolio" means a collection or allocation of investments presented through Mesodian. "Strategy" means an investment strategy, model portfolio, allocation methodology, rules-based portfolio or other investment methodology made available through Mesodian. "Automated Portfolio" means a Portfolio or Strategy that, where supported and authorised by you, may result in transactions being submitted to a connected third-party brokerage account in accordance with the applicable strategy rules and your authorisation. "Brokerage Account" means an investment or brokerage account held with a third-party broker or financial institution. "Brokerage Provider" means the third-party broker, financial institution or brokerage infrastructure provider through which your Brokerage Account is maintained or transactions are executed. "Third-Party Service" means any service operated by a third party and integrated with or used in connection with Mesodian.

3. Eligibility

You must be legally capable of entering into a binding contract to use Mesodian.

You are responsible for ensuring that your use of Mesodian is lawful in the jurisdiction in which you live or access the Service.

Certain features may be unavailable in particular countries or jurisdictions because of legal, regulatory, commercial, technical or other requirements.

We may restrict or refuse access to particular features where reasonably necessary to comply with applicable law, contractual obligations, risk controls or third-party requirements.

4. Your Account

Some features require you to create an Account.

You agree that information provided when creating or maintaining your Account will be accurate, complete and current.

You are responsible for:

  • maintaining the confidentiality of your login credentials
  • keeping your credentials secure
  • ensuring that information associated with your Account remains accurate
  • notifying us if you believe your Account has been compromised
  • all activity conducted through your Account, except where caused by our failure to take reasonable security measures

You must not: share your Account credentials with another person; allow another person to use your Account; create an Account using another person's identity; create multiple Accounts for the purpose of circumventing restrictions; or attempt to access another user's Account. We may require additional verification where reasonably necessary for security, fraud prevention or the operation of particular features.

5. The Mesodian Service

Mesodian is a software and information service.

We provide information and tools intended to assist you in researching investments, understanding portfolios and implementing investment strategies.

The Service does not guarantee any particular investment outcome.

Information presented through Mesodian may be based on data obtained from third-party providers and may contain errors, omissions, delays or inaccuracies.

We may add, modify, suspend or remove features from the Service from time to time.

6. Investment Information

Mesodian provides general investment and financial information. Information available through Mesodian may include:

  • market prices
  • financial statements
  • company information
  • economic indicators
  • market statistics
  • investment research
  • financial news
  • portfolio analytics
  • investment scores
  • historical performance
  • simulated performance
  • forecasts
  • scenarios
  • risk metrics
  • other financial information

This information is provided for informational and analytical purposes. Information available through Mesodian is not a guarantee of future performance. You should independently evaluate information before making an investment decision.

7. No Investment Advice

Mesodian provides software, information and analytical tools.

Mesodian does not provide personalised investment advice.

Nothing made available through Mesodian should be interpreted as:

  • personalised financial advice
  • a personal investment recommendation
  • a recommendation that a particular investment is suitable for you
  • a recommendation to buy, sell or hold a particular security
  • a recommendation to enter into a particular transaction
  • tax advice
  • legal advice
  • accounting advice

The availability of a Portfolio or Strategy through Mesodian does not mean that the Portfolio or Strategy is suitable for you. You are responsible for determining whether any investment, Portfolio or Strategy is appropriate for your circumstances. You should seek independent professional advice where appropriate.

8. Investment Risk

Investing involves risk.

The value of investments can rise or fall and you may lose some or all of the money you invest.

Past performance is not a reliable indicator of future performance.

Investment results can be affected by:

  • market movements
  • interest rates
  • inflation
  • exchange rates
  • economic conditions
  • political and geopolitical events
  • company-specific events
  • liquidity
  • regulatory changes
  • corporate actions
  • trading restrictions
  • market closures
  • technological failures
  • counterparty risk
  • other factors outside your or our control

You should not invest money that you cannot afford to lose.

9. Portfolios

Mesodian may provide model Portfolios containing multiple investments. A Portfolio may include information about:

  • constituent investments
  • allocations
  • historical performance
  • risk
  • volatility
  • diversification
  • sector exposure
  • geographic exposure
  • investment characteristics
  • rebalancing methodology
  • other analytical information

A Portfolio is a software-defined collection or allocation of investments. The presentation of a Portfolio through Mesodian does not constitute a personal recommendation that you invest in it. You are responsible for deciding whether to use a Portfolio.

10. Strategies

Mesodian may make Strategies available through the Service. A Strategy may define rules concerning:

  • investment selection
  • portfolio allocation
  • weighting
  • diversification
  • rebalancing
  • buying or selling
  • risk management
  • other portfolio characteristics

Strategies are implemented according to their defined rules and available functionality. The operation of a Strategy may be affected by market conditions, data availability, brokerage restrictions, transaction availability and technical limitations. Mesodian does not guarantee that a Strategy will achieve its stated objective or any particular return.

11. Automated Portfolios

Mesodian may allow you to select an Automated Portfolio and connect it to an eligible Brokerage Account.

Automated Portfolio functionality is optional.

You must actively choose to enable an Automated Portfolio and provide the necessary authorisations before transactions can be submitted through a supported Brokerage Provider.

Where an Automated Portfolio is enabled:

  1. the applicable Portfolio or Strategy determines the intended investment allocation according to its stated methodology
  2. Mesodian may generate transaction instructions based on that methodology
  3. transaction instructions may be transmitted through a supported third-party brokerage infrastructure provider
  4. the relevant Brokerage Provider may execute those transactions in your Brokerage Account
  5. transactions may occur without you manually approving each individual transaction after you have enabled the applicable automated functionality

You acknowledge that automated portfolio functionality may result in purchases or sales of investments.

12. Your Authorisation of Automated Portfolios

Before enabling an Automated Portfolio, you are responsible for reviewing:

  • the relevant Portfolio or Strategy
  • its stated methodology
  • applicable holdings
  • allocation information
  • applicable risks
  • any relevant fees
  • the permissions being granted to the Brokerage Provider or connectivity provider

By enabling an Automated Portfolio, you authorise the relevant services to carry out the actions necessary to implement the Portfolio according to the permissions you have granted. You may disable automated functionality where the relevant functionality permits you to do so. You remain responsible for monitoring your Brokerage Account and investments.

13. Automated Rebalancing

Where a Portfolio includes automated rebalancing, the Portfolio may periodically generate transactions to bring the Brokerage Account closer to the Portfolio's target allocation. Rebalancing may result in:

  • purchases
  • sales
  • changes in holdings
  • changes in asset allocation
  • transaction costs
  • tax consequences
  • realised gains or losses

Rebalancing may not always occur exactly at the intended time or target allocation. Factors that may affect rebalancing include: market movements, market hours, available liquidity, minimum order sizes, broker restrictions, insufficient funds, unsettled transactions, corporate actions, trading restrictions, data availability, technical failures, brokerage outages and third-party service interruptions. Mesodian does not guarantee that an account will always match a Portfolio's target allocation.

14. Brokerage Accounts

Mesodian does not itself provide custody of your investments.

Your Brokerage Account remains with the Brokerage Provider that maintains that account.

Mesodian does not take ownership of your investments merely because you connect your Brokerage Account to Mesodian.

The Brokerage Provider is responsible for the brokerage services it provides, including matters relating to custody, execution, settlement and the operation of the brokerage account.

Your relationship with the Brokerage Provider is governed by your agreement with that provider.

15. Brokerage Connectivity

Mesodian may use third-party infrastructure providers to connect to Brokerage Accounts. This may include SnapTrade or other brokerage connectivity providers.

When you connect a Brokerage Account through a third-party connectivity provider, your account information may be transmitted between the relevant provider, Mesodian and your Brokerage Provider as necessary to provide the requested functionality.

Third-party connectivity providers may have their own terms and privacy policies.

Where required, you will be asked to provide separate consent to the relevant third-party provider before a Brokerage Account can be connected or trading functionality can be enabled.

16. Third-Party Brokerage Services

Mesodian does not control Brokerage Providers. Brokerage Providers may impose their own:

  • eligibility requirements
  • fees
  • account requirements
  • trading restrictions
  • order restrictions
  • security requirements
  • geographic restrictions
  • regulatory requirements
  • terms and conditions

A Brokerage Provider may reject, delay, cancel or restrict a transaction. Mesodian is not responsible for the policies, systems, availability or decisions of a Brokerage Provider.

17. Trade Execution

Where Mesodian facilitates transactions through a Brokerage Provider, Mesodian does not guarantee execution. An instruction may:

  • be rejected
  • be delayed
  • be partially executed
  • execute at a different price than expected
  • be cancelled
  • fail because of insufficient funds
  • fail because of broker restrictions
  • fail because of market conditions
  • fail because of technical problems

Market prices may change between the time an instruction is generated and the time an order is executed. You should verify executed transactions through your Brokerage Account.

18. No Guarantee of Automated Operation

Automated functionality depends on multiple systems, including Mesodian, third-party connectivity infrastructure, Brokerage Providers, exchanges and other market infrastructure.

We do not guarantee that automated functionality will operate continuously or without interruption. An Automated Portfolio may fail to operate as intended because of:

  • system outages
  • software errors
  • API failures
  • brokerage outages
  • market closures
  • data errors
  • connectivity problems
  • security incidents
  • account restrictions
  • insufficient funds
  • corporate actions
  • changes to third-party systems
  • other circumstances outside our reasonable control

You should not assume that an automated strategy has executed simply because it was enabled. You should periodically check your Brokerage Account.

19. Disabling Automated Portfolios

You may disable an Automated Portfolio using the functionality made available by Mesodian or the relevant Brokerage Provider.

Disabling an Automated Portfolio may prevent future transactions from being generated but may not cancel transactions that have already been submitted.

You are responsible for checking the status of outstanding transactions with your Brokerage Provider.

20. Data and Market Information

Mesodian may use information obtained from third-party providers. Data may include:

  • market prices
  • company information
  • financial statements
  • economic data
  • exchange information
  • corporate actions
  • news
  • historical data
  • alternative data
  • other financial information

Third-party information may be delayed, incomplete or inaccurate. The timing and availability of data may vary by provider and security. Mesodian does not guarantee the accuracy, completeness, availability or timeliness of third-party data.

21. Investment Scores and Analytics

Mesodian may calculate investment and portfolio scores. These may include metrics relating to: Quality, Growth, Value, Sentiment, Risk, Timing, overall portfolio characteristics and other analytical measures.

Scores are generated using methodologies and data determined by Mesodian. Scores may change as data, market conditions, methodologies or assumptions change.

A score is an analytical output and is not a guarantee, forecast or personal investment recommendation. You should not make an investment decision solely on the basis of a Mesodian score.

22. Historical and Simulated Performance

Mesodian may display historical, hypothetical, simulated or backtested performance. Such information is provided for illustrative purposes. Simulated results may differ materially from actual results. Simulated performance may not account fully for:

  • transaction costs
  • spreads
  • commissions
  • taxes
  • liquidity
  • slippage
  • execution delays
  • market impact
  • corporate actions
  • account restrictions
  • other real-world factors

Past performance does not guarantee future results.

23. Forecasts and Scenarios

Mesodian may provide forecasts, scenarios or other forward-looking information. These are based on assumptions, models, historical information and other inputs that may change.

Forward-looking information is inherently uncertain. Actual results may differ materially from any forecast or scenario presented through the Service.

24. News and Third-Party Content

Mesodian may display news, research, commentary or other third-party content.

Third-party content remains the property of its respective owners. Mesodian does not necessarily endorse third-party content.

We are not responsible for the accuracy, completeness, legality or availability of third-party content. Third-party content may contain opinions, forecasts or statements that are inaccurate or outdated.

25. Educational Content

Mesodian may provide educational resources including lessons, quizzes, calculators, explanations, glossaries, tutorials and other educational material.

Educational content is provided for general informational purposes. It is not personalised investment, financial, tax or legal advice.

26. Artificial Intelligence and Automated Analysis

Mesodian may use automated models, algorithms or artificial intelligence in certain features.

Automated outputs may contain errors or inaccuracies. Such outputs may be generated from incomplete, outdated or incorrect information.

You should independently verify material information before relying upon it. Automated or AI-generated content does not constitute professional advice.

27. Your Investment Decisions

You are solely responsible for your investment decisions. You are responsible for:

  • deciding whether to invest
  • deciding how much to invest
  • selecting whether to use a Portfolio or Strategy
  • deciding whether to enable automated functionality
  • reviewing the risks associated with investments
  • monitoring your Brokerage Account
  • complying with applicable laws
  • understanding the terms of your Brokerage Provider

Mesodian does not guarantee that using the Service will result in profits or prevent losses.

28. Taxes

Investing may create tax obligations. Mesodian does not provide tax advice.

You are responsible for determining the tax consequences of your investments and transactions and for complying with applicable tax laws.

Automated rebalancing and other transactions may create taxable events depending on your jurisdiction and circumstances. You should consult a qualified tax professional where appropriate.

29. Fees and Subscriptions

Certain Mesodian features may require a paid subscription.

The applicable price and billing period will be displayed before you purchase a subscription. Subscription fees may be charged monthly, annually or according to another billing period displayed at purchase.

Where a subscription renews automatically, you authorise the applicable payment provider to charge the renewal fee.

You may cancel your subscription in accordance with the cancellation functionality made available by Mesodian. Cancellation generally prevents future renewal but does not automatically refund amounts already charged, except where required by law or expressly stated otherwise.

30. Price Changes

We may change subscription prices. Where required by applicable law, we will provide reasonable advance notice of price changes.

If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

31. Promotional Pricing

Mesodian may offer promotional pricing, founding-user pricing, free trials or other offers. Promotional offers may have additional terms. Unless otherwise stated:

  • promotional offers are subject to eligibility requirements
  • we may limit the number of times an offer may be used
  • promotional pricing may expire
  • subscriptions may renew at the standard applicable price after a promotional period

32. Payments

Payments may be processed by third-party payment providers.

You agree to provide accurate payment and billing information. If payment is declined, reversed or otherwise fails, we may suspend access to paid features.

Third-party payment providers may have their own terms and privacy policies.

33. Consumer Cancellation Rights

If you are a consumer, you may have statutory cancellation rights under applicable law. Nothing in these Terms removes or restricts mandatory consumer rights.

Where applicable law provides a statutory cancellation period, we will provide the information and cancellation mechanism required by law.

If you expressly request that a digital service begin before the end of an applicable cancellation period, additional legal requirements may apply.

34. Refunds

Refunds will be provided where required by applicable law or where expressly provided under the applicable subscription or promotional terms.

Unless otherwise required by law, cancelling a subscription does not automatically entitle you to a refund for unused time remaining in an already-paid billing period.

Nothing in this section limits statutory consumer rights.

35. Intellectual Property

Mesodian and its licensors own all intellectual property rights in the Service, except for third-party materials and content owned by users. This includes:

  • software
  • source code
  • databases
  • interfaces
  • designs
  • branding
  • logos
  • trademarks
  • graphics
  • text
  • methodologies
  • scoring systems
  • models
  • reports
  • visualisations
  • layouts
  • documentation

Your subscription or use of Mesodian does not transfer ownership of Mesodian intellectual property to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for your personal use.

36. Restrictions on Use

You must not, except where expressly permitted by law or by us:

  • copy the Service
  • reproduce substantial portions of the Service
  • resell access
  • sublicense access
  • commercially exploit the Service
  • reverse engineer the Service
  • decompile the Service
  • attempt to obtain source code
  • scrape the Service
  • systematically extract data
  • circumvent technical restrictions
  • interfere with the Service
  • introduce malicious software
  • attempt to access another user's Account
  • use Mesodian data to create a competing service without permission

37. Your Content and Information

You retain ownership of information and content that you submit to Mesodian.

You grant Mesodian the rights reasonably necessary to host, process, store, analyse and display such information to provide the Service.

You represent that you have the necessary rights and permissions to provide information that you submit. You must not submit information that you are not authorised to provide.

38. Brokerage and Financial Account Data

When you connect a Brokerage Account, Mesodian may receive information relating to that account. Depending on the permissions granted and the functionality used, this may include:

  • account information
  • holdings
  • positions
  • balances
  • transactions
  • security information
  • other information made available by the relevant Brokerage Provider

The availability and freshness of information may vary by Brokerage Provider. Mesodian does not guarantee that information obtained from a Brokerage Provider will always be complete, accurate or current.

39. Security

We take reasonable technical and organisational measures designed to protect the Service and information processed through it.

However, no online service can be guaranteed to be completely secure.

You are responsible for maintaining the security of your Account credentials and connected brokerage credentials where applicable. You must notify us promptly if you suspect unauthorised access to your Mesodian Account.

40. Third-Party Services

Mesodian may depend on or integrate with third-party services. These may include:

  • brokerage providers
  • brokerage connectivity providers
  • payment providers
  • authentication providers
  • cloud infrastructure providers
  • market data providers
  • financial data providers
  • news providers
  • analytics providers
  • other service providers

Third-party services may have separate terms. A change, suspension or failure of a third-party service may affect Mesodian functionality. We are not responsible for the operation of third-party services.

41. Changes to Third-Party Services

Third-party providers may change:

  • APIs
  • pricing
  • availability
  • supported brokers
  • supported securities
  • permissions
  • functionality
  • technical requirements
  • contractual terms

Such changes may require Mesodian to modify or discontinue corresponding functionality. We will take reasonable steps to maintain important functionality where commercially and technically practicable.

42. Service Availability

We aim to provide reliable access to Mesodian. However, we do not guarantee uninterrupted or error-free availability. The Service may be unavailable because of:

  • maintenance
  • software updates
  • infrastructure failures
  • third-party failures
  • brokerage outages
  • market outages
  • cyberattacks
  • security incidents
  • telecommunications failures
  • regulatory requirements
  • force majeure events
  • other circumstances outside our reasonable control

43. Suspension

We may temporarily suspend access to some or all of the Service where reasonably necessary to:

  • protect the Service
  • protect users
  • investigate security incidents
  • comply with law
  • comply with third-party requirements
  • perform maintenance
  • address technical problems
  • prevent fraud or abuse

Where reasonably practicable, we will provide notice before planned suspension.

44. Termination by You

You may stop using Mesodian at any time. You may close your Account using the available account controls or by contacting us.

Closing your Mesodian Account does not automatically close your Brokerage Account. You should separately manage any Brokerage Account and cancel or disable any relevant automated functionality.

45. Termination by Mesodian

We may suspend or terminate an Account where reasonably necessary if:

  • you materially breach these Terms
  • you use the Service unlawfully
  • you compromise the security of the Service
  • you engage in fraud or abuse
  • you fail to pay applicable fees
  • continued provision of the Service would violate applicable law
  • required by a third-party provider
  • necessary to protect Mesodian, users or third parties

Where reasonably practicable, we will provide notice before termination.

46. Effect of Termination

Following termination:

  • your right to use Mesodian may cease
  • access to Mesodian features may be disabled
  • connected brokerage functionality may cease
  • automated portfolio functionality may be disabled
  • subscription billing may cease subject to outstanding amounts
  • information may become unavailable through Mesodian

Termination of your Mesodian Account does not itself close or terminate your Brokerage Account. You remain responsible for any transactions already submitted through a Brokerage Provider.

47. Privacy and Data Protection

Your use of Mesodian is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, store and disclose personal information.

Where you connect a Brokerage Account, additional information may be processed by Mesodian and relevant third-party providers. You should review the Privacy Policy and applicable third-party privacy policies before connecting an account.

48. Data Retention and Account Deletion

We retain information for as long as reasonably necessary to provide the Service, comply with legal obligations, resolve disputes, enforce agreements and protect our legitimate interests, subject to applicable law.

You may request deletion of personal information where you have a legal right to do so. Some information may need to be retained where required by law or where a legitimate legal basis for retention applies.

Deletion of your Mesodian Account may not result in immediate deletion of information held by third-party providers.

49. Complaints

If you have a complaint about Mesodian, please contact us at contact@mesodian.com.

Please provide sufficient information for us to identify your Account and understand the issue. We will review complaints and respond within a reasonable period.

Where a complaint concerns a third-party Brokerage Provider or another Third-Party Service, you may also need to contact that provider directly.

50. Regulatory Status

Mesodian provides software, investment information, analytical tools and portfolio functionality.

Mesodian is not a bank, broker, custodian or investment adviser and does not itself hold customer investments or customer money. Mesodian does not provide personalised investment advice or discretionary portfolio management. Where you use a third-party Brokerage Provider, that provider is responsible for the regulated brokerage services that it provides to you. Nothing in these Terms is intended to represent that Mesodian provides regulated financial services where it does not.

51. No Custody of Investments

Mesodian does not take custody of your investments merely because you use the Service or connect a Brokerage Account.

Investments remain held through the relevant Brokerage Provider. Mesodian does not control the custody arrangements of the Brokerage Provider.

Any protections applicable to assets held with a Brokerage Provider depend on that provider, the account type, applicable law and the jurisdiction in which the provider operates.

52. No Guarantee of Investment Results

Mesodian does not guarantee:

  • investment returns
  • profits
  • avoidance of losses
  • achievement of portfolio objectives
  • achievement of target allocations
  • successful execution of every transaction
  • uninterrupted automated operation
  • accuracy of every data point
  • accuracy of every analytical output
  • availability of every investment or Brokerage Provider

You acknowledge that investment losses can occur.

53. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis. We do not warrant that the Service will:

  • be uninterrupted
  • be error-free
  • always be accurate
  • always contain complete information
  • always contain current information
  • produce particular results
  • meet every individual requirement
  • remain compatible with every third-party service

Nothing in these Terms excludes any warranty, right or remedy that cannot legally be excluded.

54. Limitation of Liability

To the maximum extent permitted by applicable law, Mesodian will not be liable for indirect, incidental, special or consequential losses arising from your use of the Service. This includes, where legally permissible, losses arising from:

  • investment losses
  • changes in market prices
  • missed investment opportunities
  • trading losses
  • loss of anticipated profits
  • inaccurate or delayed third-party information
  • failed transactions
  • rejected transactions
  • brokerage outages
  • third-party service failures
  • data errors
  • connectivity failures
  • automated portfolio interruptions
  • technical failures

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or mandatory consumer rights.

55. Consumer Protections

If you are a consumer, nothing in these Terms is intended to remove or restrict mandatory rights or protections provided to you under applicable consumer law.

Where applicable, Irish and European consumer protection legislation may provide rights concerning digital services, contracts, cancellation, conformity and remedies. Those rights apply regardless of anything inconsistent in these Terms.

56. Indemnification

To the extent permitted by applicable law, you agree to compensate Mesodian for reasonable losses, liabilities and costs arising from your:

  • material breach of these Terms
  • unlawful use of the Service
  • fraud
  • misuse of the Service
  • infringement of third-party rights
  • violation of applicable law

This does not apply to the extent that the relevant loss results from Mesodian's own unlawful conduct or liability that cannot legally be transferred to you.

57. Acceptable Use

You must use Mesodian lawfully and responsibly. You must not use Mesodian to:

  • commit fraud
  • manipulate markets

  • violate financial or securities laws
  • impersonate another person
  • access another person's account
  • compromise security
  • introduce malicious code
  • interfere with the Service
  • circumvent access controls
  • unlawfully scrape or extract data
  • resell access without permission
  • use Mesodian for unlawful purposes

We may take appropriate action where we reasonably believe the Service is being misused.

58. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we may notify you through the Service, by email or through another appropriate method. The updated Terms will state their effective date.

Where applicable law requires your express acceptance of material changes, we will obtain that acceptance. Otherwise, continued use of Mesodian after the effective date may constitute acceptance of the updated Terms.

59. Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent.

We may transfer these Terms as part of a merger, acquisition, restructuring, sale of assets or similar transaction, provided that this does not unlawfully reduce your rights.

60. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be modified or removed only to the extent necessary. The remaining provisions will remain effective.

61. No Waiver

If we do not immediately enforce a provision of these Terms, this does not constitute a waiver of our right to enforce that provision later.

62. Entire Agreement

These Terms, together with our Privacy Policy, applicable subscription terms, applicable promotional terms, any additional terms expressly incorporated into the Service and any separate terms governing specific functionality, constitute the agreement between you and Mesodian concerning your use of the Service.

Where specific additional terms apply to a particular service, those terms will apply to that service to the extent of any conflict.

63. Governing Law

These Terms are governed by the laws of Ireland.

If you are a consumer, this does not prevent you from benefiting from mandatory protections or rights available under the laws applicable to your circumstances.

64. Dispute Resolution

If you have a dispute with Mesodian, we encourage you to contact us first so that we can attempt to resolve the matter informally.

You retain any mandatory rights to bring proceedings before a competent court or use any applicable statutory dispute-resolution mechanism. Nothing in these Terms prevents you from exercising rights that cannot legally be excluded.

66. Acceptance

By creating an Account, accessing or using Mesodian, purchasing a subscription, connecting a Brokerage Account, selecting a Portfolio or Strategy, or enabling automated functionality, you confirm that:

  1. you have read these Terms
  2. you understand these Terms
  3. you agree to these Terms
  4. you understand that investments involve risk
  5. you understand that Mesodian provides software and investment information rather than personalised investment advice
  6. you understand that Mesodian does not itself hold your investments or operate your Brokerage Account
  7. you understand that third-party Brokerage Providers are responsible for brokerage and execution services
  8. you understand that automated portfolios may generate transactions after you have authorised the relevant functionality
  9. you are responsible for your investment decisions
  10. you will comply with applicable laws when using Mesodian
